These Terms of Service ("Terms") govern your use of sundefeat.com and your business dealings with SunDefeat ("we", "us", "our"). By accessing the site or engaging us for manufacturing services, you agree to these Terms. If you do not agree, please do not use the site.

1. Service Description

SunDefeat is a B2B manufacturer of fashion sunglasses and optical frames. We provide OEM/ODM manufacturing, private label and custom logo services to brands, distributors and retailers. This website is intended for business buyers; we do not sell directly to end consumers through this site.

2. Inquiries and Quotations

Information, images and prices shown on this site are for reference only and do not constitute a binding offer. A quotation becomes valid only when confirmed in writing, such as through a proforma invoice. Quotations are subject to final specifications, quantities, materials and lens options, and we may revise a quotation if those details change.

3. Samples and Designs

Sample production and design work are provided on the terms agreed in writing. Unless otherwise stated, sample fees may apply and may or may not be credited toward a subsequent bulk order. We will confirm sampling terms before any sample work begins.

4. Intellectual Property

You retain all rights in the designs, logos, trademarks and artwork you provide to us. By providing them, you confirm that you have the right to use them, and you grant us a limited, non-exclusive license to use them solely to manufacture and deliver your order. We do not claim ownership of your brand or your customer designs.

Our proprietary designs, tooling (unless separately agreed), website content and know-how remain our property. You are responsible for ensuring that the designs and branding you submit do not infringe the rights of any third party, and you agree to indemnify us against claims arising from their use.

5. Orders and Delivery

Orders are confirmed by a written proforma invoice or order confirmation. Lead times are estimates given in good faith, and we will notify you of any material delay. Risk of loss and title pass according to the Incoterms agreed in your order. You should inspect goods promptly on receipt and notify us in writing of any defect within a reasonable period.

6. Quality and Claims

We manufacture to the specifications agreed in your order and carry out quality inspection before shipment. Claims for shortages or defects must be made in writing within a reasonable time and are subject to verification. We are not liable for damage caused by misuse, modification or normal wear and tear.

7. Limitation of Liability

To the maximum extent permitted by law, SunDefeat is not liable for any indirect, incidental, special or consequential damages, including lost profits, lost business or business interruption, arising out of or related to the site or our services. Our total liability for any claim is limited to the amount actually paid for the specific order giving rise to the claim.

8. Governing Law

These Terms are governed by the laws of the People's Republic of China, without regard to conflict-of-law principles. Any dispute will first be addressed through good-faith negotiation and, if unresolved, submitted to the competent courts or to arbitration as the parties may agree in writing.

9. Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated effective date, and your continued use of the site or our services after changes are posted constitutes acceptance of the revised Terms.
